Terms and Conditions

  1. ORBS rents to Occupant, and Occupant rents from ORBS, per the terms and conditions hereafter, a portion of the premises (to be determined by ORBS in its sole and absolute discretion) located at the corner of The Old Road and Villa Canyon Road in the city of Castaic, California. This Agreement is for the rental of space only. ORBS is simply renting space to the Occupant. ORBS does not provide security, waste disposal, utility hookups at the premises, or other services and the Occupant assumes all risk incidents to security at the premises of the Occupant’s property or contents in the Occupant’s property.
  2. TERM AND TERMINATION.
    1. The term commences on the date above and will be month to month unless canceled by either party at any time with prior written notice to the other party.
    2. ORBS may consider any personal property belonging to the Occupant and left on the premises to have been abandoned, in which case ORBS may dispose of all such property, according to California Self-Service Storage Facility Act, including the sale, storage, or other disposition, in which event the Occupant hereby releases ORBS of any liability whatsoever.
  3. BILLING.
    1. Rent shall be payable on the 1st day of each month, monthly in advance, at the rate provided by ORBS. The monthly rent may increase up to 5% per year with 30 days prior notice.
    2. A service charge of an additional $25 per occurrence shall be charged on all accounts delinquent for five (5) calendar days or more.
    3. In case of default in payment of rent by the Occupant or any other covenant of the Occupant, ORBS is authorized to seize and take possession of the Occupant’s property, to store at the expense of the Occupant, or to sell same at public or private sale upon such notice as may be required by law, and in the event of a sale, to apply such portion of the proceeds therefrom as payment of rent or other indebtedness hereunder to ORBS as is necessary to pay same, including but not limited to the cost of a lien sale. The Occupant agrees that if the Occupant is in default, ORBS may sell the stored property according to the procedure for the sale of such property subject to a lien set out in California Business and Professions Code Sections 21700 to 21716.

  5. PREMISES.
    1. Occupant shall not make or cause any alterations or waste to the premises. Occupant accepts the premises as is, where is, with all faults, and Occupant shall keep the premises and its goods in sanitary order and condition. ORBS reserves the right to relocate equipment as may be required without prior notice or in case of an emergency. The term “emergency” shall mean any sudden, unexpected occurrence or circumstance which, in the reasonable judgment of ORBS, requires immediate action.
    2. PROHIBITED ACTIVITIES – NO;
      • WORK/MAINTENANCE MAY BE DONE ON ANY ITEM BY THE OCCUPANT AT ANY TIME ON THE PREMISE.
      • ONE MAY LIVE ON THE PROPERTY AT ANY TIME.
      • DUMPING ONSITE.
      • OTHER VEHICLES/EQUIPMENT MAY BE STORED WITHOUT PRIOR NOTICE.
      • YOU MAY ONLY PARK THE VEHICLE IDENTIFIED ABOVE.
      • NO ANIMALS
    3. No hazardous material may be stored on the site that – specifically prohibits explosives, combustible materials, chemicals, odorous or other inherently dangerous materials. All propane tanks must be turned off prior to storage. All batteries must be disconnected and dip pans placed under engines.
    4. No material may be laid directly on the ground without being placed on a trailer.
  6. INSURANCE OBLIGATIONS OF OCCUPANT. Occupant shall at its own cost and expense obtain and maintain current insurance to the extent of at least 100% of the actual cash value of the goods stored on the premises covering all loss and/or damage caused by fire, water, theft, vandalism, or any other risk of any kind or nature and to name ORBS as an additional insured. Occupant agrees to seek reimbursement for damages to said property solely from the proceeds of such insurance, and not from ORBS and its principals, employees and agents. The Occupant agrees to indemnify ORBS of any and all insurance companies’ right of subrogation related to the Equipment. To the extent the Occupant fails to obtain or maintain insurance it will be deemed self insured and to have assumed the risk of loss or damage and expressly agrees to do so.
  7. NONLIABILITY OF ORBS FOR DAMAGE OR LOSS. THIS AGREEMENT IS MADE ON THE EXPRESS CONDITION AND COVENANT THAT OCCUPANT AGREES TO RELIEVE ORBS AND IT’S PRINCIPALS, EMPLOYEES AND AGENTS FROM ANY AND ALL LIABILITY FOR NEGLIGENCE CAUSING ANY LOSS, HARM, INJURY, OR DAMAGE TO OCCUPANT’S PROPERTY WHATSOEVER OR INJURY TO ANY PERSONS INCLUDING THE OCCUPANT WHILE IN, UPON, OUTSIDE THE PREMISES, OR IN ANY WAY CONNECTED WITH OR ARISING OUT OF THE USE OF THE PREMISES DURING. OCCUPANT AGREES NOT TO SUE OR MAKE ANY CLAIM AGAINST AND RELEASES ORBS AND ITS PRINCIPALS, EMPLOYEES AND AGENTS AND OCCUPANT HEREBY ASSUMES RESPONSIBILITY AND LIABILITY FOR ANY AND ALL DAMAGES, LOSS OR INJURY OF ANY KIND OR NATURE WHATSOEVER (INCLUDING DEATH RESULTING THEREFROM) TO ALL PERSONS AND PROPERTY, WHETHER AGENTS OF OCCUPANT OR OTHERWISE, AND TO ALL PROPERTY CAUSED BY, RESULTING FROM, ARISING OUT OF OR OCCURRING IN CONNECTION WITH OCCUPANT’S USE OF THE PREMISES. OCCUPANT SHALL INDEMNIFY, DEFEND AND HOLD ORBS, ITS AGENTS, EMPLOYEES AND SERVANTS HARMLESS FROM AND AGAINST ANY CLAIM, LIABILITY, LOSS, DAMAGE, COST, AWARD, FINE, JUDGMENT OR EXPENSE INCLUDING REASONABLE ATTORNEY’S FEES AND LEGAL EXPENSES, WITH RESPECT TO OR ARISING OUT OF USE OF THE PREMISES OR IN ANY WAY CONNECTED WITH THE PREMISES OR THE STORAGE OF OCCUPANT’S VEHICLE.
  8. Additional Provisions:
    1. The Occupant shall not assign, lease or sublease the premises or any portion thereof without written approval of ORBS.
    2. Any provision of this Agreement determined to be invalid by a court of competent jurisdiction shall in no way affect any other provision herein.
    3. All of the provisions hereof shall apply to, bind, and be obligatory upon the heirs, executors, administrators, representatives and successors of the parties hereto.
    4. This is the entire Agreement between the parties, there are no other promises except as stated herein (and introductory email) and the Occupant hereby agrees not to rely on any oral promises of ORBS or ORBS’ agents unless and except if stated in writing. This Agreement may only be modified in a writing signed by both parties.
    5. This Agreement is subject to the laws of California and any action related to this Agreement shall be brought in Los Angeles County, California.
